AgentDial Terms of Service

1. Acceptance of Terms

By accessing or using AgentDial, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

AgentDial is a multi-line outbound power dialing platform SaaS for real estate agents and ISAs. Features include multi-line dialing, caller ID rotation, AI call coaching, real-time call transcription, call recording, CRM, campaign management, automated follow-up flows, calendar and appointment booking, contract management, and media library.

3. Eligibility

You must be at least 18 years old and a licensed real estate professional or ISA acting on behalf of a licensed real estate professional.

4. Account Registration

You agree to:

• Provide accurate information
• Maintain security of your credentials
• Notify us of unauthorized use
• Be responsible for all activity under your account

One account per person. Each additional user requires a separate paid seat.

You are responsible for all activity under your account including use by unauthorized parties. Sharing login credentials is prohibited. You remain liable for all charges incurred under your account regardless of who accessed it.

5. Subscription and Billing

• All applicable fees are as described on the pricing page
• Subscriptions renew automatically monthly unless cancelled
• The first seat is charged at full price with no proration
• Additional seats added mid-cycle are prorated to your billing date
• All sales are final. AgentDial does not offer refunds on any subscription fees, setup fees, or partial month charges. If you believe there has been a billing error, contact support@agentdial.io within 7 days of the charge and we will review it. Cancelling your subscription stops future charges but does not entitle you to a refund of any amount already paid.

By completing your purchase you acknowledge that you have read and agree to this no-refund policy.

Monthly Number Refresh Policy: Caller ID numbers included in your plan are refreshed on a monthly cycle. At the start of each billing cycle, AgentDial will replace any numbers flagged as spam across major carriers at no additional charge, up to your plan's caller ID limit. This refresh service is included in your monthly subscription fee. Because number provisioning costs are incurred immediately upon billing cycle renewal, the monthly subscription fee is non-refundable once charged, including in months where number provisioning or refresh has occurred.

If you initiate a chargeback or payment dispute with your bank or credit card provider, your account may be immediately suspended pending resolution of the dispute. Access to your account data may be restricted during an active dispute.

AgentDial reserves the right to change subscription pricing at any time. Current subscribers will receive at least 30 days notice before any price increase takes effect on their account.

Unpaid balances are subject to a finance charge of 1.5% per month on any outstanding amount, or the maximum permitted by law, plus all reasonable costs of collection.

6. Acceptable Use

You must not:

• Call numbers on the DNC Registry without prior express written consent
• Violate TCPA, FCC regulations, or any applicable laws
• Record calls without proper disclosure and consent
• Harass, threaten, or defraud any person
• Reverse engineer, copy, or resell any part of the platform
• Upload contacts obtained through illegal means
• Use artificial or prerecorded voice calls without prior express written consent of the called party
• Import contact data that has not been scrubbed against the National Do Not Call Registry and applicable state DNC lists
• Use AI coaching suggestions in a manner that violates any applicable law or regulation

You are solely responsible for compliance with all telemarketing and communications laws including TCPA, TSR, and applicable state laws.

7. Call Recording and Compliance

You are solely responsible for complying with all call recording laws in your jurisdiction. AgentDial disclaims all liability for your failure to comply with call recording laws. You agree to provide legally required call recording disclosures to all parties, including stating "This call may be recorded" at the start of each recorded call.

8a. Google Integration

If you connect your Google account, you authorize AgentDial to access your Gmail and Google Calendar as described in our Privacy Policy. You may revoke access at any time.

8b. AI Features Disclaimer

AgentDial uses AI to provide real-time coaching suggestions and post-call summaries. These suggestions are provided for informational purposes only and do not constitute legal, compliance, or professional advice. You are solely responsible for what you say on calls regardless of any AI suggestion provided. AI-generated summaries may not be fully accurate.

9. Contact Data and Privacy

You represent that:

• You have the legal right to use any contact data you upload
• Your use complies with applicable privacy laws
• You have obtained required consents for communications you initiate

You further represent that all contact lists have been scrubbed against the National Do Not Call Registry and applicable state DNC lists prior to any calls being made, and that you will immediately honor all do-not-call requests by logging them in the platform.

9a. Third-Party Data and Lead Sources

AgentDial may feature third-party data providers or affiliate services on its platform. AgentDial does not provide, sell, verify, or guarantee the compliance of any third-party data. You are solely responsible for ensuring any imported data complies with all applicable laws. AgentDial expressly disclaims all liability for your use of third-party data.

10. Intellectual Property

All content, features, and functionality of AgentDial are owned by AgentDial and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license for internal business use only.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or at our sole discretion. You may cancel at any time from billing settings.

Upon cancellation or termination for any reason, all account data including contacts, call logs, recordings, and campaign data will be permanently deleted within 30 days. AgentDial is not responsible for any data loss upon account termination.

12. Disclaimers

The service is provided "as is" without warranty of any kind. AgentDial disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.

AgentDial makes no representation or warranty that use of the platform will result in any business opportunities, revenue, listings, or other results. Individual results vary based on market conditions, effort, and experience.

By creating an account and using AgentDial, you acknowledge that you have read, understood, and agree to these Terms including all liability limitations and disclaimers. You expressly waive any claims against AgentDial arising from security incidents, data breaches, or service interruptions beyond AgentDial's reasonable control.

13. Limitation of Liability

AgentDial shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

AgentDial shall have no liability for any claims, fines, or penalties arising from your violation of the TCPA, TSR, or any federal or state telemarketing law.

14. Indemnification

You agree to indemnify, defend, and hold harmless AgentDial, its officers, directors, employees, and agents from any and all claims, damages, fines, penalties, and expenses including reasonable attorney fees arising from: (i) your use of the platform; (ii) any alleged violation of the TCPA, TSR, or any telemarketing or communications law; (iii) your contact data or calling lists; (iv) any calls or communications you initiate using the platform; (v) your violation of these Terms.

15. Governing Law

These Terms are governed by the laws of the State of Texas. Disputes shall be resolved in courts located in Dallas County, Texas.

15a. Dispute Resolution

Any dispute arising from these Terms or your use of AgentDial will be resolved by binding individual arbitration under the American Arbitration Association rules. You waive any right to a jury trial or to participate in a class action lawsuit against AgentDial. Small claims court disputes are exempt from this arbitration requirement. 15b. Feedback

If you submit feedback, feature requests, or suggestions about AgentDial, you grant AgentDial a perpetual, irrevocable, royalty-free right to use that feedback for any purpose including improving the platform and building new features. You retain no rights in feedback you submit.

16. Changes to Terms

We will notify you of material changes to these Terms by email and platform notification at least 30 days before the changes take effect.

AgentDial does not offer refunds on subscription fees. In the limited case where a material Terms update directly conflicts with your existing use of the platform, you may submit a refund request to support@agentdial.io within 7 days of the change notice. Refund requests are reviewed on a case-by-case basis at AgentDial's sole discretion. Approved refunds will be prorated for unused months only.

Continued use of the platform after the effective date of any changes constitutes your acceptance of the updated Terms.

Minor changes such as clarifications, legal compliance updates, or additions that do not materially affect your use of the platform may take effect immediately upon notice.
